Under the general direction of the Chief Counsel, the Attorney V advises, supports, and represents the California Department of Technology (CDT) and the Office of Broadband and Digital Literacy (OBDL) serving as the exclusive expert in business establishment, network and asset acquisitions, commercialization, and initial market capitalization of the State’s Middle Mile Broadband Initiative (MMBI) network. The Attorney V handles/litigates the most complex, sensitive, and difficult civil cases and/or corporate advice and/or transaction matters and assignments necessary to defend and reduce CDT and OBDL’s legal exposure. The Attorney V shall be responsible for potential litigation from MMBI contractors, customers, and commercial competitors.
The Attorney V will manage, negotiate, and lead contracting as CDT seeks to acquire assets, including existing networks, as well as to develop innovative and novel contractual joint-build arrangements with industry players. The Attorney V will provide unique legal expertise in initial capitalization to engage with the attorneys representing the private entity contracting as Third Party Administrator to operate and maintain the MMBI network, as well as the acquisition, development, construction, maintenance and operation of the federally funded-state mandated MMBI network, and implementation of the Governor’s Broadband-for-All Action Plan.
The Attorney V will be a subject matter expert in network acquisitions, broadband, state IT and non-IT procurements, telecommunications, construction contracts, complex litigation, contract negotiations, prevailing wage, statewide IT and telecom operations, services, systems, writs and protests, telecommunications and broadband regulation and compliance, legislation, policy, and, while not intended, possible condemnation and eminent domain actions. The Attorney V also mediates and assists in resolving disputes with contractors, and recommends action on State and Federal legislation, rules and regulations. The Attorney V will contact and maintain ongoing working relationships with other Executive Branch departments such as the Department of Finance, Department of Transportation (Caltrans), and the Department of General Services (DGS), constitutionally created entities such as the California Public Utilities Commission (CPUC), oversight agencies such as the Department of Justice (DOJ), Government Operations Agency (GovOps) and the California State Transportation Agency (CalSTA), as well as the Governor’s Office, high-level gubernatorial appointees, the legislature, legislative staff, and the statutorily mandated third-party administrator of the Middle-Mile Broadband Initiative (MMBI).
This position is designated under the Conflict-of-Interest Code. The position is responsible for making, or participating in the making, of governmental decisions that may potentially have a material effect on personal financial interests. The appointee is required to complete form 700 within 30 days of appointment. Failure to comply with the Conflict-of-Interest Code requirements may void the appointment.
