Job Description and Duties

As a valued member of the California Infrastructure and Economic Development Bank (IBank) team, you make it possible for IBank to contribute to the State’s economic development and job creation efforts by being innovative and flexible, reporting to work as scheduled, working cooperatively with team members and others, and treating others fairly, honestly and with respect. Your efforts are important to each member of the team, as well as those we serve.

Under the direction of the Executive Director, the Chief Counsel (General Counsel) acts as the most senior legal and legislative advisor to the Executive Director and the executive staff on IBank’s Executive Committee (collectively, the Executive Staff) and participates as a member of the California Infrastructure and Economic Development Bank’s (IBank) management in the development and implementation of IBank legal, legislative and program policies. The position also advises the Executive Staff on the most sensitive and exceptionally difficult legal work for IBank, and interprets and evaluates legislation, existing legal policy, formulates new legal policy and represents IBank in legal proceedings with the Governor’s Office, the Governor’s Office of Business and Economic Development (GO-Biz), the U.S. Department of the Treasury, other State and Federal officials, regulatory agencies, and the public as they interface with IBank. The incumbent must be an expert in the highly specialized field of public finance law, litigation, financing structuring and structured finance, and serves as the issuer’s counsel on bonds issued by IBank. To manage public market transactions, the incumbent will need to manage rating agency engagements, work with investment banks, outside counsel, and financial consultants on IBank Issuances. The incumbent must manage regulatory audits, including from federal Office of Inspector General and the Internal Revenue Service and from state sources. The incumbent must have a strong financing background, and be able to understand, interpret, and analyze complex financial structures, and be able to review due diligence and data room materials, and financial models and spreadsheets required to accurately draft and negotiate agreements. The incumbent manages and directs the operations of IBank’s Legal Unit and Bond Unit.

California State Bar License Number required.

Working Conditions

Hybrid: this position is eligible for a hybrid telework schedule and requires reporting in-person at headquarters in Sacramento 2 times a week.  #li-hybrid

The California Infrastructure and Economic Development Bank (IBank) was created in 1994 and operates pursuant to the Bergeson-Peace Infrastructure and Economic Development Bank Act contained in the California (Government Code Sections 63000-63089.98) et seq. IBank is located within the Governor’s Office of Business and Economic Development (GO-Biz) and is governed by a five-member Board of Directors.

IBank has broad authority to issue tax-exempt and taxable revenue bonds, provide financing to public and private agencies, provide credit enhancements, acquire or lease facilities and leverage state and federal funds.

Examination Information

The examination process will consist of an evaluation of the candidate’s application, resume and Statement of Qualifications (SOQ) by a designated screening committee. The screening committee will use predetermined evaluation criteria derived from the knowledge, skills and abilities, and desirable qualifications listed on this announcement. Candidates should ensure they are thorough when describing their experience relative to the areas described.

 

Applicants who fail to submit the required documents (application, resume and SOQ) will be eliminated from the examination process.

 

The SOQ may also serve as documentation of the candidate’s ability to present information clearly and concisely in writing, since this is a critical factor to successful job performance. The SOQ may be the only basis for the candidate’s final score and rank on the eligible list. Candidates will be ranked competitively, and each candidate will be notified in writing of his/her examination results.

 

The SOQ must specifically address your education and experience as it relates to each item below. The SOQ items must be numbered and addressed in the same order as listed; do not consolidate the responses.   1. Describe your background in project and structured finance, including finance structures involved, amounts and project types, and your experience in undertaking legal due diligence, financial analysis, and document drafting and negotiation for pending transactions.

 

  1. Describe your experience in connection with the issuance of tax-exempt and taxable bond issued in the public capital markets, including work with underwriters, rating agencies, financial advisors, and outside counsel.

  1. Describe your experience in connection with direct financings to municipalities or commercial enterprises. Please indicate whether such financings were debt or equity, were undertaken with specially restricted funds (such as federal), or were part of specific government financing programs.

  1. Describe your experience in personnel management and supervision regarding both legal and non-legal staff. Q5: Describe your experience advising the senior executives on the legal risks and mitigating factors associated with key transactions and critical institutional matters. Please also describe any experience managing litigation related to financial transactions.
