Job Description and Duties

This position may be filled at one of these State Fund locations: Glendale, Pleasanton, Sacramento or Santa Ana.

State Fund’s Corporate Legal Department has an exciting Attorney IV Transaction position. The Attorney IV will be among the more experienced attorneys in law functions, oversee and handle the more sensitive, difficult, and complex legal transactions and advice matters central to State Fund’s business functions.

Under direction of the Assistant Chief Counsel, you will:
  • Act as lead attorney within the legal functions in accordance with established business practices, professional standards, authorized procedures, guidelines and State Fund policies
  • Advise clients and internal teams on commercial transactions, contracting strategies, assess legal, financial and operational risks, and draft State Fund’s contracts
  • Research and write legal memoranda and risk mitigation strategies, draft proposed legislation or regulations, provide legal advice and counsel to State Fund’s executives, program managers and their subordinates
  • Review, analyze, and negotiate with outside entities and vendors on technology contracts (SaaS, IaaS, PaaS), data privacy and security issues, intellectual property rights, and other business service or asset purchase contracts needed to accomplish State Fund’s enterprise goals
  • We may consider filling the position with an Attorney III who has exceptional experience. This position has an option to telework and is subject to change based on State Fund guidelines and business needs.

Desirable Qualifications:
  • A minimum of ten years of experience practicing law, four years of which must have been at a level of responsibility equivalent to an Attorney III
  • A minimum of four years of significant transactional, litigation, insurance or corporate law experience involving high potential financial or risk exposure, including negotiating professional services and information technology contracts, software as a service, intellectual property, etc.
  • Ability to proactively and productively interact with Information Technology, Enterprise Security, Enterprise Procurement, Governance and other business units, and understand State Fund’s business systems and data repositories
  • Ability to work independently, efficiently and timely under time pressures and deadlines in a fast-paced environment
  • Experience contributing to enterprise cross-functional teams concerning data privacy and security policies, protocols and procedures
  • Ability to balance project legal issues with business goals; demonstrate strong, pragmatic business acumen; and recognize the business consequences of legal advice
  • Excellent collaborative relationship building and communications with attorney and other legal staff, cross-functional teams and contract business partners
  • Ability to effectively mentor attorneys and deliver training to legal staff and business partners
  • Extensive knowledge of substantive and procedural State and Federal law, including administrative codes and regulations related to contracts, intellectual property, privacy and insurance.

    Working Conditions

    Starting June 2022, selected candidate(s) hired may be required to attend in-person onboarding at our Vacaville office.  Expenses for onboarding attendance would be paid by State Fund.
